Welcome to The Ikoma. These Terms & Conditions (“Terms”) govern your access to and use of our website, mobile applications, and services (collectively, “The Ikoma Platform”). By using or accessing The Ikoma Platform, you agree to comply with and be bound by these Terms. Please read them carefully.

Acceptance of Terms
By using The Ikoma Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use The Ikoma Platform.

Amendments to the Terms
The Ikoma reserves the right to modify or update these Terms at any time without prior notice. We will post the updated Terms on our website, and the changes will be effective immediately upon posting. Your continued use of The Ikoma Platform after changes are posted constitutes your acceptance of the revised Terms.

Eligibility
To use The Ikoma Platform, you must be at least 18 years old and legally capable of entering into binding contracts. By accessing or using our platform, you represent and warrant that you meet these eligibility requirements.

Account Registration and Security

      • Account Creation:
        To access certain features of The Ikoma Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
      • Account Security:
        You agree to notify us immediately if you suspect any unauthorized use of your account or any other breach of security. The Ikoma will not be liable for any losses caused by unauthorized use of your account.
      • Account Termination:
        The Ikoma reserves the right to suspend or terminate your account at any time, with or without notice, if we believe that you have violated these Terms or engaged in fraudulent or illegal activities.

Vendor and Customer Responsibilities

      • Vendor Responsibilities:
        Vendors on The Ikoma Platform must comply with all applicable laws, regulations, and our policies, including but not limited to the Anti-Money Laundering (AML) and Know Your Customer (KYC) requirements. Vendors must ensure that the products they list for sale are accurately described and that they are legally permitted to sell them.
      • Customer Responsibilities:
        Customers are responsible for ensuring that the products they purchase comply with local laws and that their use of The Ikoma Platform is lawful. Customers must make sure that they provide accurate and up-to-date information during the purchase process.

Product Listings and Transactions

      • Product Listings:
        The Ikoma Platform allows vendors to list products for sale. The descriptions, images, and prices of the products are provided by the vendors, and The Ikoma does not guarantee the accuracy or completeness of these listings.
      • Purchases:
        By placing an order on The Ikoma Platform, you agree to pay the listed price for the product and any applicable taxes and shipping fees. Once an order is placed, the vendor will fulfill the order as per their delivery terms. All payments must be made through our secure payment gateway.
      • Disputes Between Buyers and Sellers:
        In the event of a dispute between a buyer and seller, The Ikoma will make reasonable efforts to mediate. However, The Ikoma is not responsible for any damages or losses arising from disputes between users of the platform.

Payments and Fees

      • Payments:
        The Ikoma Platform uses third-party payment processors to handle all financial transactions. By making a purchase, you agree to be bound by the terms and conditions of the respective payment processor. The Ikoma does not store any payment information, and any issues regarding payments should be directed to the processor.

      • Fees:
        The Ikoma charges vendors a commission on each sale. The exact percentage of the commission will be outlined in the vendor agreement. Vendors agree to pay all applicable fees and taxes related to their sales.

Shipping, Returns, and Refunds

      • Shipping:
        Vendors are responsible for shipping the products to customers in a timely manner. Shipping costs are determined by the vendor and will be displayed at checkout.

      • Returns and Refunds:
        The Ikoma allows vendors to set their own return and refund policies, which must be clearly stated on the product listing. Customers are advised to review the return and refund policies before making a purchase. The Ikoma is not responsible for processing returns or refunds.

Intellectual Property

      • The Ikoma Intellectual Property:
        All content on The Ikoma Platform, including text, graphics, logos, and software, is the property of The Ikoma or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or create derivative works of any part of The Ikoma Platform without our express written permission.

      • User-Generated Content:
        Users may submit reviews, comments, or other content (“User-Generated Content”) to The Ikoma Platform. By submitting such content, you grant The Ikoma a non-exclusive, royalty-free, perpetual, and worldwide license to use, modify, distribute, and display your content in connection with The Ikoma Platform.

Prohibited Activities
When using The Ikoma Platform, you agree not to:

      • Engage in any fraudulent, illegal, or harmful activities.
      • Post false or misleading product listings or information.
      • Use the platform to promote or sell prohibited goods or services.
      • Interfere with the security or performance of the platform.
      • Violate the intellectual property rights of The Ikoma or third parties.

Limitation of Liability
The Ikoma is a marketplace that facilitates transactions between buyers and sellers. While we strive to ensure a safe and secure platform, we do not make any warranties regarding the quality, safety, legality, or accuracy of the products listed on the platform.

To the fullest extent permitted by law, The Ikoma will not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the platform, including but not limited to damages for lost profits, loss of data, or other intangible losses.

Indemnification
You agree to indemnify and hold harmless The Ikoma, its affiliates, directors, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use of The Ikoma Platform or violation of these Terms.

Governing Law
These Terms will be governed by and construed in accordance with the laws of Tanzania, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Tanzania.

Termination
The Ikoma may terminate or suspend your access to the platform at any time, without notice or liability, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use The Ikoma Platform will immediately cease.

Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
